Should an investment SPV be an LLC, and what must be decided before filing it?

An investment SPV can be an LLC when its approved governance and ownership plan fit that form, but an LLC is not automatically right for every vehicle. Before filing, settle the purpose, state, owners, manager, signatory authority, registered agent, tax review, securities review, and post-formation record owner.
