Do I need to foreign qualify an SPV to buy a business in New York?

A foreign SPV may need authority before doing business in New York, but the Department of State does not decide individual fact patterns. Counsel should review the purchase form, post-closing operations, employees, property, contracts, licenses, and statutory exceptions before filing, publishing notices, or relying on an exemption.

Decide whether the acquisition vehicle needs New York authority

A foreign LLC applies for authority under New York LLC Law section 802 when it will do business in the state. The Department of State does not issue fact-specific opinions on what constitutes doing business. The acquisition agreement, New York target, or ownership interest alone should not substitute for analysis of the buyer’s continuing post-close role.

Identify which entity will own assets or equity, employ workers, lease property, sign contracts, hold permits, make taxable sales, and operate bank or payroll accounts. If authority is required, the foreign LLC files a $250 application and a certificate of existence dated within one year. Use the accepted legal name across the purchase, tax, licensing, and operating records.

Plan publication and recurring state filings

Within 120 days after the Application for Authority, a foreign LLC generally publishes the application or a notice once a week for six successive weeks in two newspapers designated by the county clerk. After receiving publisher affidavits, it files a Certificate of Publication and pays a $50 state filing fee. Newspaper charges vary by county and publisher.

Failure to complete publication within 120 days suspends the LLC’s authority to conduct business until cured. Domestic and foreign corporations and LLCs also file a $9 Biennial Statement every two years in the calendar month of formation or authorization. Assign these deadlines before the closing team disperses.

Keep New York tax treatment tied to classification

A partnership-taxed or disregarded LLC with New York-source items can enter the IT-204-LL annual filing-fee system. Current amounts range from $25 to $4,500 depending on classification and prior-year New York-source gross income. An LLC taxed as a corporation does not file IT-204-LL and instead may enter the corporation-franchise-tax framework.

General business corporations can owe the highest amount produced by the business-income, business-capital, and fixed-dollar-minimum bases, plus an MTA surcharge when applicable. A single universal SPV tax rate would therefore be misleading. Tax advisers should model classification, New York receipts, assets, payroll, source income, combined reporting, and local New York City obligations separately.

Treat bulk-sale compliance as a closing condition

For a covered asset or bulk sale, the purchaser files Form AU-196.10 at least 10 days before paying or taking possession. The Tax Department can issue a release or a notice of claim. A stock purchase where the corporation and its assets remain in place is not a bulk sale under the Department’s bulletin, though other diligence still applies.

A purchaser continuing taxable sales applies for a new Certificate of Authority at least 20 days before acquiring the business; the seller’s certificate is not transferable. Most licenses also require new applications.
