What is a cap table?
A cap table (capitalization table) is a spreadsheet or document that records every equity holder in your company, how many shares they own, what percentage of the company they represent, and what class of stock they hold.
It tracks founders, investors, employees with stock options, advisors with equity grants, and anyone else with ownership rights. A clean cap table shows authorized shares, issued shares, unissued shares, and the option pool. As your company raises funding rounds, the cap table updates to reflect new investors, dilution, and any conversions (like SAFEs converting to preferred stock). Investors review your cap table during due diligence to understand ownership distribution. Lovie's CapTable product helps founders maintain an accurate, up-to-date cap table from day one.
