What is foreign LLC qualification?
Foreign LLC qualification is the process of registering your LLC to legally do business in a state other than where it was originally formed. If you form an LLC in Wyoming but operate in California, you must 'foreign qualify' in California by filing an Application for Registration and paying that state's foreign qualification fee.
When foreign qualification is required: you have a physical office, employees, or inventory in another state; you regularly conduct in-person meetings with clients there; or you have a significant, ongoing physical presence. When it is NOT required: selling products online to customers in other states (without physical presence), occasional travel for business meetings, or owning rental property managed by a third party (varies by state). Costs: foreign qualification fees range from $50 (many states) to $800+ (California, which also imposes its $800 franchise tax on foreign LLCs). This dual-state cost is why forming in your home state is usually cheaper than forming in a 'favorable' state and then qualifying in your home state.
