What is an LLC annual report?
An LLC annual report is a filing required by most states that confirms your business information is current — including your registered agent, principal address, and member/manager names. It is not a financial report. Filing fees range from $0 to $800 depending on the state, and deadlines vary (some states use your formation anniversary, others use a fixed calendar date).
States that do NOT require annual reports: Arizona, Missouri, New Mexico, Ohio, South Carolina. States with the highest annual report fees: California ($800 franchise tax, technically separate but functionally similar), Massachusetts ($500), Nevada ($350 annual list + $200 business license), Delaware ($300 franchise tax). Missing your annual report deadline triggers late fees ($25-$400) and can eventually lead to administrative dissolution — meaning your LLC loses its legal standing and you lose liability protection. Most states provide a 30-90 day grace period before imposing penalties.
