Administrative dissolution is the involuntary termination of a business entity by the state, typically for failure to file annual reports, pay franchise taxes, or maintain a registered agent. Unlike voluntary dissolution (initiated by owners), administrative dissolution happens without the owners' consent and can occur without advance notice in some states.
