What is an AI-native cap table?
An AI-native cap table stores your ownership as structured data your AI can query directly, instead of a spreadsheet you read by hand. You ask for dilution, a round scenario, or an exit waterfall in plain language, and get the answer from your live table.
Do you handle incorporation and 83(b) elections?
Yes, through Lovie Formation. We incorporate the Delaware C-corp, issue founder stock, and file the 83(b) elections inside the 30-day window — the deadline that quietly costs founders the most money when it slips. The cap table then exists from day one rather than being reconstructed later.
How does the import work?
Upload your cap table as a PDF or XLSX. AI extracts stakeholders, SAFEs, and rounds, then presents everything for your review. Nothing is written until you confirm — the import is assisted, not automatic.
Do I have to start a new cap table every time I raise?
No. Add the round or a dilution scenario on the same table. Ownership updates in one view — you are not rewriting the cap table from scratch for each what-if.
Who can see my cap table?
You do, by default. You choose what to share and with whom — founders, investors, and lawyers each get scoped access rather than a forwarded spreadsheet, so there is one source of truth instead of five copies.
How do SAFEs get signed?
Inside Lovie, with no DocuSign seat. Generate the SAFE from your round terms, send it for signature, and let automatic 3- and 7-day reminders chase it. The executed copy is stored against the stakeholder and stays retrievable, so you are not digging through email for it.
Do I need DocuSign or a separate e-signature tool?
No. Signing is built in. Each signature request carries its own consent record and a tamper-evident audit trail, so you can show who signed what, when, and what they were shown — the evidence a DocuSign envelope would have given you, without the second subscription.
Can my investors and lawyers get their own access?
Yes, and it is scoped rather than shared. An investor sees their own position, counsel sees what you grant them, and nobody gets a forwarded spreadsheet with everyone else's numbers in it. You can change or revoke access at any time.
What happens to my data if I leave?
You export it. Your cap table, stakeholders, rounds, and signed documents are yours, and there is no exit fee or lock-in period holding them.
How much does it cost?
It is free while you are small — your first 25 stakeholders, and until you have raised $1M. After that, in US dollars: AI manage is $99/mo, or $1,099 billed annually — you and your assistant run the table. Human in the loop is legal ops at $199 an hour — everything in AI manage, plus a legal ops person who has helped founders raise running the workflows, reading the side letters, and checking every round before it closes.
Is this the open-source Carta alternative everyone keeps asking for?
Not open source — open access. The part founders actually want from an open alternative is not the licence, it is the exit: your table is queryable by any assistant you connect over MCP, exportable in full at any time, and not held hostage by an enterprise contract. You can leave with your data whenever you like, which is the same freedom without the maintenance burden.
If MCP commoditizes cap tables, why pay for one?
Because we agree it will, and we priced for that. Storing shares is the commodity; what stays hard is the legal ops around it — the side letter nobody re-read, the pro rata right in clause 4 that changes the next round, the SAFE signed in March that never made it onto the table. We are building the layer that catches those, not a vault you rent access to.
Everyone is still on a spreadsheet. Why will that change now?
Because the spreadsheet was never the problem — the retyping around it was. A cap table only left Excel when the tool could also send the SAFE, collect the signature, and record the wire. That is now one system instead of three, and your assistant can read it in plain language, so there is finally something better to switch to.
What is the MCP integration, and is it secure?
MCP lets an AI assistant like Claude, Cursor, ChatGPT, Missive, or Manus query your cap table in plain language. The connection is OAuth-secured and read-scoped by default; write tools are separate and clearly marked, so an assistant can answer questions without changing your data unless you allow it. You get an ecosystem that works with your AI — not another silo.
When can I use it?
Join the list and we will get you set up. It stays free through your first 25 stakeholders and until you raise $1M. After that, two options: AI manage at $99/mo if you and your assistant run the table, or Human in the loop at $199 an hour of legal ops if you want a legal ops person checking everything and signing off on every round before it closes.
What is the best cap table software for founders?
Lovie is built as AI-native cap table software made specifically for founders. It models dilution, SAFEs, and exit waterfalls automatically, syncs with the AI tools you already use, and skips the enterprise-priced bill legacy equity tools charge, all while you are still early stage.
- Models dilution, SAFEs, and exit waterfalls automatically instead of by hand
- Works with the AI tools you already use — Claude, Cursor, ChatGPT
- Free for your first 25 stakeholders and until you raise $1M. After that, AI manage is $99 per company/month, or $1,099 billed annually. Human in the loop is $199 per hour of legal ops. All prices in USD.
